APTECH CREATIVE PTE. LTD., registered in Singapore ("AllinNovel", "we", "our", "us"), provides a Platform (as defined below) for writers and publishers to distribute and monetize various literary works (a "Work" or "Works"). These TERMS OF USE, together with our Privacy Policy, Content Policy, and all other operating rules, policies and procedures that AllinNovel may publish from time to time (collectively, the "Terms"), govern AllinNovel's relationship with users ("users", "you") of the AllinNovel platform located at www.allinnovel.com, including all sub-domains and associated websites (collectively, the "Website"), the AllinNovel mobile application(s), including iPhone and Android mobile applications ("Apps"), any and all other platforms on which content is accessed, published, or distributed, and all associated services, features, or content made available through any of the foregoing ("Services") (together, the "Platform"). The Terms constitute a legally binding agreement between AllinNovel and you.
By accessing or using the Platform, you confirm that you have read, understood, and unconditionally accept these Terms and agree to comply with them fully. Please read these Terms carefully before using the Platform. If you do not agree to these Terms, please do not use the Platform and you are not granted permission to access, view, or otherwise use the Platform for any purpose. USE OF THE SERVICES IS NULL AND VOID WHERE PROHIBITED.
Notice Regarding Modifications
AllinNovel reserves the right to modify these Terms at any time. For material changes, AllinNovel will provide no less than thirty (30) days' prior notice via the email address registered to your Account or via a prominent notice on the Platform. For changes required to address security, safety, legal, or regulatory requirements, AllinNovel may not be able to provide advance notice, and such changes may take effect immediately upon posting. It is your sole responsibility to check these Terms periodically for changes. IF YOU CONTINUE TO ACCESS OR USE THE PLATFORM AFTER UPDATED TERMS HAVE BEEN POSTED, WE WILL CONSIDER THAT YOU HAVE ACCEPTED AND AGREED TO BE BOUND BY THE UPDATED TERMS. IF YOU DO NOT AGREE TO THE UPDATED TERMS, YOU MUST STOP ACCESSING OR USING THE PLATFORM AND CLOSE YOUR ACCOUNT (IF APPLICABLE).
Regional Notice
These Terms are primarily governed by Singapore law. However, if you are a resident of the EU, UK, Australia, California (USA), or any other jurisdiction with mandatory consumer protection or data protection laws, certain additional provisions and rights apply to you as set forth in the Regional Addenda in Section 17. Nothing in these Terms shall limit any rights you may have under the mandatory laws of your jurisdiction that cannot be excluded by contract.
1. Eligibility
1.1 Age Requirement
You must be at least 16 years of age to use the Platform. AllinNovel is not intended for children under the age of 16. AllinNovel will never knowingly solicit or accept personally identifiable information or other content from a user known to be under 16 years of age. If AllinNovel discovers that a user under 16 years of age has created an account or posted personally identifiable information or other content to the Services, AllinNovel will terminate the account and remove the relevant information or content.
1.2 Teen Users
Users between 16 and 18 years of age ("Teens") may not access or use the Services unless: (a) both the Teen and their parent or legal guardian have first agreed to these Terms; and (b) the Teen uses an account established under their parent or guardian's supervision and with their parent or guardian's permission. If you permit a Teen to use the Services, you hereby agree to these Terms on behalf of both yourself and the Teen. You further agree that you are solely responsible for any and all use of the Services by your Teen, regardless of whether such use was expressly authorized by you. Certain features involving mature or adult content are restricted to users aged 18 or older who have completed the applicable age verification process.
1.3 General Representations
By agreeing to these Terms, you represent and warrant to us that: (a) you meet the minimum age requirements in Section 1.1; (b) if you are under 18 years of age, you have obtained required parental or guardian consent; (c) you have not previously been permanently suspended or removed from the Service; and (d) your registration and use of the Platform complies with all applicable laws and regulations in your jurisdiction.
1.4 Entity Users
If you are using the Service on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to be bound by these Terms on behalf of that organization.
2. Accounts
2.1 Account Creation
To use certain features of the Platform, you are required to register an AllinNovel account (an "Account"). You agree to provide true, accurate, current, and complete information about yourself as prompted by the Services, and to maintain and promptly update such information. If you provide any information that is untrue, inaccurate, incomplete, or not current, you are deemed to be in breach of these Terms, and we have the right to suspend or terminate your Account and refuse any and all current or future use of the Services by you.
2.2 Account Security
Your Account is personal to you. You are responsible for maintaining the confidentiality of your login credentials, including your password, and for restricting access to your Account. You agree to accept full responsibility for all activities that occur under your Account or password, whether or not authorized by you and whether or not known to you. You may not sell, trade, or otherwise transfer or assign your Account to another party except as expressly provided herein. You agree to notify AllinNovel immediately via the contact details at the end of these Terms if you suspect any unauthorized access to your Account, and to ensure you log out from your Account at the end of each session.
2.3 Third-Party Sign-On
AllinNovel may allow you to register and log in using sign-on functionalities provided by third-party platforms (e.g., Facebook, Google). You agree to comply with the relevant third-party platform's terms and conditions applicable to such functionalities, and acknowledge that AllinNovel is in no way responsible for the content of such terms and conditions.
2.4 Account Deletion
If you no longer wish to use the Services and would like your Account deleted, please follow the instructions on the Platform or contact us via the support details at the end of these Terms. Once you choose to delete your Account, you will not be able to reactivate your Account or retrieve any content or information you have added (including free and paid content). AllinNovel will handle your personal data in accordance with our Privacy Policy and applicable data protection laws.
2.5 Account Suspension and Termination
AllinNovel may, at any time, with or without notice, in its reasonable discretion, suspend, disable, or terminate your Account, remove or delete your content, and/or refuse any and all current or future use of the Services, if: (a) AllinNovel reasonably believes you have failed to comply with any provision of these Terms, our Privacy Policy, Content Policy, or any applicable laws or regulations; (b) we reasonably believe your Account is being used in a fraudulent or unlawful manner; (c) your Account has been inactive for a prolonged period and you have not resumed use after notice of such inactivity; or (d) we are required to do so by applicable law or a regulatory authority.
2.6 Account Name Ownership
Your account name and any other identifiers you adopt within AllinNovel remain AllinNovel's property. AllinNovel may disable, reclaim, and reuse such names and identifiers once your Account is terminated or deactivated for whatever reason, whether by you or by us.
2.7 Content Backup
As AllinNovel does not guarantee the permanent availability of your content, you should make and maintain backups of any content you value at your own cost. AllinNovel assumes no responsibility for the deletion or failure to store any content, and we expressly do not promise to store or keep any content that you have submitted to the Platform.
3. AllinNovel Content
Except for User Content (as defined below) and except as otherwise explicitly specified by AllinNovel, all items, content, or features within or otherwise forming part of the Services ("AllinNovel Content"), including but not limited to texts, images, sounds, music, videos, animations, trademarks, logos, patterns, charts, visual interfaces, code, stickers, in-app content additions, and other downloadable items, are legally owned, controlled, or legitimately licensed to AllinNovel and are protected by copyright, patent, trademark, and other intellectual property laws.
Except as expressly provided in these Terms, no part of the Services and no AllinNovel Content may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, or distributed in any way (including "mirroring") without AllinNovel's express prior written consent.
AllinNovel may delete AllinNovel Content from the Services at any time, with or without notice, and has no liability to you for exercising such rights.
4. Grant of License
4.1 License Scope
Subject to your full compliance with these Terms and applicable laws and regulations, and to the extent we are lawfully able to grant such rights, AllinNovel grants you a limited, revocable, non-exclusive, non-sublicensable, and non-transferable license to access and use the Services and AllinNovel Content, solely for your personal, non-commercial purposes and/or other purposes expressly stated herein, on a single device. The duration of such Services provision will be as determined by AllinNovel at its sole discretion.
4.2 Technological Protection Measures
Any use not expressly permitted by these Terms constitutes a breach of these Terms and may violate copyright, trademark, and other intellectual property laws. AllinNovel may use technological measures in the Services to prevent unlicensed or unauthorized use. You agree not to seek to disable or circumvent such measures in any way.
4.3 Device Access
To provide the Services, we may require access to and/or use of your relevant device. If you do not provide such right of access, we may not be able to provide the Services to you. Any personal information accessed within your device will be treated in accordance with this Agreement and the Privacy Policy.
4.4 Restrictions
Except and solely to the extent such a restriction is impermissible under applicable law, you may not, nor may you permit any other person to:
(a) view, copy, or procure content or information from the Services by automated means (such as scripts, bots, spiders, crawlers, or scrapers), or use other data mining technology to frame, mask, extract data, or other materials from the Services, unless formally authorized by AllinNovel under a separate written agreement;
(b) modify, create derivative works from, reverse compile, reverse engineer, or extract source codes from the Services, except as permitted by applicable law or with AllinNovel's prior written consent;
(c) use the Services in any manner that breaches this Agreement or applicable laws and regulations, or encourages any person to do so;
(d) sub-license, rent, lease, or sell the Services (except where expressly agreed otherwise);
(e) remove, obscure, or modify any copyright, trademark, or other proprietary rights notice in or on the Services;
(f) lend, hire, rent, sell, distribute, sublicense, make available to the public, broadcast, or transmit the Services in whole or in part in any manner not expressly permitted by this Agreement;
(g) attempt to disrupt or interfere with the Services, including manipulating the legitimate operation of the Services, or use cheats, exploits, automation software, or unauthorized third-party software designed to modify or interfere with the Services;
(h) disrupt or overburden any computer or server used to offer or support the Services; or
(i) develop plug-ins, external components, or other technology that inter-operates with the Services, except where expressly permitted by AllinNovel in writing.
If you violate any of the above restrictions, your right to use the Services will cease immediately.
5. Privacy and Data Protection
5.1 Data Protection Commitment
AllinNovel is committed to protecting your personal data in accordance with the Singapore Personal Data Protection Act 2012 ("PDPA") and other applicable data protection laws. Our Privacy Policy governs our collection, use, disclosure, and management of your personal data, and is incorporated into these Terms by reference. The Privacy Policy is available on the Platform.
5.2 Consent to Data Use
By using the Platform, you consent to our collection and use of your personal data as described in the Privacy Policy.
5.3 Your Data Rights
You have the right to access, correct, and withdraw consent for the use of your personal data held by AllinNovel, subject to applicable legal exceptions. Requests may be submitted to our Data Protection Officer via the contact details at the end of these Terms.
5.4 Internet Transmission Security
You understand and agree that internet transmissions are never completely private or secure. You understand that any message, content, or information you send to or exchange with the Services may be read or intercepted by others, even if there is a special notice that a particular transmission is encrypted.
5.5 Ad-Supported Services
We may make all or some part of the Services available to you without charge. In consideration thereof, you acknowledge and agree that we may allow the display of third-party advertising, including advertising personalized to you, on or in connection with the Services. Please refer to our Privacy Policy for more details.
6. Content Policy
AllinNovel implements a Content Policy designed to comply with relevant laws and regulations and with the policies and requirements of distribution platforms' operators. Our Content Policy forms part of these Terms and is available on the Platform.
AllinNovel operates as a hosting platform and is not obligated to monitor, filter, edit, or control User Content prior to publication. AllinNovel's liability with respect to User Content is limited to the extent permitted under the Singapore Electronic Transactions Act 2010 and other applicable safe harbor provisions.
7. User Content
7.1 Scope
The Services may invite or enable you and other users to create, submit, post, display, transmit, perform, publish, or distribute communications, content, and materials (including without limitation text, writings, photographs, graphics, images, comments, personally identifiable information, etc.) ("User Content"). AllinNovel may but has no obligation to accept, display, review, maintain, or otherwise exploit any User Content. You shall have fully read and understood this Section 7 before uploading, posting, or publishing any User Content to the Service.
7.2 Ownership
You retain all ownership rights in and to your User Content. AllinNovel does not claim any ownership in User Content that you upload, and nothing in these Terms transfers ownership of your User Content to AllinNovel.
7.3 License Granted to AllinNovel
By uploading, posting, or publishing User Content, you grant AllinNovel and its affiliate companies a perpetual, non-exclusive, transferable, sub-licensable, royalty-free, worldwide, irrevocable license to use your User Content (with no fees or charges payable by AllinNovel to you) for the purposes of providing, promoting, developing, and improving the Services. This license includes the right to use, copy, reproduce, host, store, process, adapt, modify, translate, perform, distribute, and publish your User Content worldwide in all media and by all distribution methods, including those developed in the future. This license is limited to: (a) providing and improving the Service; (b) complying with applicable legal obligations; or (c) other purposes expressly stated in these Terms.
7.4 Perpetual Retention Rights
Subject to applicable laws and regulations, you further perpetually and irrevocably grant AllinNovel the unconditional right to:
(a) retain and continue to use your User Content after you stop using the Services;
(b) retain or disclose your User Content to comply with applicable laws or regulations; comply with a court order, subpoena, or other legal process; respond to a lawful request by a government authority or law enforcement agency (whether in your jurisdiction or elsewhere); or where we reasonably believe it is necessary to comply with applicable laws or regulations; and
(c) retain or disclose your User Content to enforce this Agreement or to protect the rights, property, or safety of AllinNovel, its affiliates, or other users of the Services.
7.5 Waiver of Moral Rights
To the extent permitted by law, you waive, and/or agree not to assert, any rights of attribution and/or any moral rights you may have in your User Content, regardless of whether your User Content is altered or changed in a manner not agreeable to you.
7.6 License Granted to Other Users
By uploading, posting, or publishing User Content, you grant other users a non-exclusive, non-transferable license to access and use that User Content solely as permitted by these Terms and the functionality of the Service.
7.7 Representations and Warranties
You understand that the person from whom User Content originates is solely responsible for such User Content. You must at all times ensure and warrant that your User Content is wholly original to you and that you exclusively own the rights thereto, including the rights required to submit, transmit, or display your User Content and to grant AllinNovel and third parties the rights set out in this Agreement; and that your User Content (and AllinNovel's use of your User Content in accordance with this Agreement) does not breach any applicable laws or regulations or the rights of any person, or this Agreement.
By uploading, posting, or publishing User Content, you further warrant that your User Content does not:
(a) violate any applicable Singapore law or applicable laws in the jurisdiction where the content is accessed, including any laws regarding intellectual property, privacy, and publicity rights;
(b) include any material that is exploitative, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, age, or other prohibited grounds;
(c) involve stalking, exploiting, or harming minors in any way, including by exposing them to inappropriate content or requesting personal information;
(d) include false, inaccurate, or misleading information;
(e) impersonate or attempt to impersonate AllinNovel, any employee, another user, or any other person or entity;
(f) transmit or procure the sending of any unauthorized advertisements, promotions, spam, junk mail, chain letters, contests, or other commercial solicitation without our prior written consent;
(g) infringe, violate, or misappropriate any third-party intellectual property right, privacy right, right of publicity, or any other proprietary right;
(h) contain unlicensed political lobbying or political campaigning material; or
(i) give the impression that it originates from or is endorsed by AllinNovel or any other person or entity, if this is not the case.
7.8 AllinNovel's Rights to Manage Content
AllinNovel reserves the right in its sole discretion, without notice and without any liability to you, to pre-screen, review, monitor, refuse, remove from the Service, censor, edit, alter, delete, disable access to, or otherwise make unavailable any User Content at any time, including without limitation where: (a) it violates these Terms, the Privacy Policy, the Content Policy, or any applicable laws or regulations; (b) in response to complaints from other users or third parties; or (c) for no reason. You understand that when using the Services you may be exposed to User Content from a variety of sources that may be inaccurate, offensive, indecent, or objectionable. You agree that you must evaluate and bear all risks associated with the use of any User Content. Under no circumstances will AllinNovel be liable in any way for any User Content, including for any errors or omissions therein or any loss or damage incurred as a result of the use of such User Content.
7.9 Content Backup
AllinNovel has no obligation to monitor or enforce your intellectual property rights in your User Content. AllinNovel assumes no responsibility for the deletion or failure to store your User Content, and expressly does not promise to store or keep any User Content. You are solely responsible for saving backup copies of your User Content.
7.10 Reporting
If you believe that User Content violates these Terms, the Content Policy, or other policies, you may report it using any reporting functionality within the Services or by contacting us via the contact details at the end of these Terms. For intellectual property infringement notices, please follow the procedure in Section 13.
7.11 Prohibition on Commercial Use and AI Training
You may not use any content obtained through the Platform (including AllinNovel Content and other users' User Content) for any commercial purpose, including but not limited to: (a) training, fine-tuning, or evaluating any artificial intelligence, machine learning, or large language model; (b) compiling datasets, corpora, or training data collections; (c) content aggregation, mirroring, or unauthorized redistribution; or (d) systematically scraping, extracting, or copying content from the Platform for use in any commercial service outside the Platform. Any unauthorized commercial use in violation of this Section constitutes an infringement of AllinNovel's and content owners' intellectual property rights. AllinNovel reserves the right to seek all available legal remedies, including injunctive relief and damages, in respect of any such infringement.
7.12 Algorithm Neutrality
The Platform uses algorithmic systems to recommend content to you. Such recommendation systems operate based on aggregate platform usage data and do not constitute AllinNovel's endorsement of any specific content, author, or third party. AllinNovel makes no warranty regarding the accuracy, completeness, or suitability for your purposes of any algorithmically recommended content. Any decisions you make in reliance on algorithmic recommendations are made entirely at your own risk, and AllinNovel accepts no liability in connection therewith.
8. Payment Terms
8.1 Fees and Payments
Access to certain features of the Platform may require payment of fees. Before you pay any fees, you will have a clear opportunity to review and accept the fees you will be charged. All fees are displayed in U.S. dollars unless otherwise stated. You agree that any payments you make to us in relation to your use of any Services are final and non-refundable, EXCEPT WHERE SPECIFIED BY US UNDER THIS AGREEMENT OR AS REQUIRED BY APPLICABLE LAW. Nothing in this Section affects any mandatory refund rights you may have under applicable consumer protection law.
8.2 Pay-to-Read
You may from time to time be required to make applicable payments to access certain portions of the Services (e.g., to unlock specific chapters or content).
8.3 Subscriptions
Certain Services are provided in the form of automatically renewing subscriptions. If you purchase any automatically renewing subscription, you agree that you will be charged through the payment method we have on record on each renewal date. If any payment method becomes invalid and we are unable to charge you during any billing period, we reserve the right to revoke your access to the subscribed Services and cancel your subscription with immediate effect. You may cancel your subscription at any time before the end of the current billing period; cancellation will take effect at the end of the current billing period. No refund or credit will be provided for any remaining days in the current billing period upon cancellation.
8.4 Pricing Changes
AllinNovel reserves the right to change the Terms, adjust pricing and availability for the Services, or any components thereof, at any time in its sole and absolute discretion. AllinNovel does not provide price protection or refunds in the event of a price adjustment or promotional offering, whether permanent or temporary.
8.5 Taxes and Additional Fees
All purchases are subject to applicable taxes, including Singapore Goods and Services Tax ("GST") (currently 9%) where applicable, and may be subject to foreign exchange fees or price differences based on your location. Tax amounts will be disclosed to you prior to completing any transaction. You are solely responsible for all third-party charges you incur (including charges from your internet and telecommunications service providers) in relation to your use of the Services.
8.6 Billing Disputes
If you believe that we have charged you in error, and subject to applicable laws and regulations, you must contact us via the contact details at the end of these Terms within thirty (30) days of the date of the relevant charge. No refunds will be given for any erroneous charges claimed after such 30-day period.
8.7 Payment Processing
Payment processing services may be provided by third-party payment processors (e.g., Apple In-App Purchases, Google Play Payments, PayPal). AllinNovel bears no responsibility for any transactions processed by, or any payments made to, such third parties. All purchases are subject to the terms of the relevant payment service provider.
8.8 Virtual Currency and Virtual Items
Any virtual currency, credits, tokens, badges, or similar virtual items within the Platform (collectively, "Virtual Items") do not constitute real currency, property rights, or any rights capable of being assigned a monetary value, nor do they represent any claim against AllinNovel. Virtual Items represent only a limited, non-transferable, revocable personal-use license granted by AllinNovel under these Terms. AllinNovel may, at its sole discretion and at any time, adjust, modify, suspend, or terminate any Virtual Items without providing any compensation or refund to you, except as required by applicable mandatory law. Virtual Items may not be sold, transferred, gifted, or otherwise conveyed to any third party, nor redeemed for legal tender. Upon termination of your Account or discontinuation of the Services, all unused Virtual Items in your Account will immediately expire, and AllinNovel has no obligation to compensate you for such expiry.
9. Disclaimers
OTHER THAN AS EXPRESSLY STATED IN THIS AGREEMENT OR AS REQUIRED BY APPLICABLE LAWS AND REGULATIONS, THE PLATFORM IS PROVIDED ON AN "AS IS", "AS AVAILABLE", AND "WITH ALL FAULTS" BASIS, AND ALLINNOVEL DOES NOT MAKE ANY SPECIFIC COMMITMENTS, WARRANTIES, OR UNDERTAKINGS ABOUT THE SERVICES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
AllinNovel makes no warranty that: (a) the Platform will be available, uninterrupted, interference-free, or error-free, or be free from viruses, worms, or other security intrusions; (b) the results obtained from using the Platform will be accurate or reliable; (c) any Works or other content will remain available or continue to be updated; or (d) any content you submit will be accessible on the Services.
AllinNovel does not guarantee the availability, delivery, performance, pricing, or timeliness of any content or other intellectual property appearing on the Platform, including future episodes or updates to Works.
You understand and agree that you use the Services, access, download, or otherwise obtain materials or content through the Services at your own discretion and risk. You are solely responsible for any damage to your property (including your computer system or mobile device), or the loss of data resulting from use of the Services. Use of the Services is entirely at your own risk.
AllinNovel is not liable for any failure of performance due to causes beyond its reasonable control, including but not limited to: (a) natural disasters such as floods, earthquakes, or epidemics; (b) social events such as wars, riots, or government actions; (c) computer viruses, trojan horses, or other damage caused by malware or hackers; (d) malfunction or failure of software, systems, hardware, or connectivity; or (e) any other cause beyond AllinNovel's reasonable control or predictability.
CERTAIN JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES. TO THE EXTENT THAT APPLICABLE LAW DOES NOT PERMIT THE EXCLUSION OF CERTAIN WARRANTIES, SOME OR ALL OF THE EXCLUSIONS IN THIS SECTION MAY NOT APPLY TO YOU.
AllinNovel accepts no liability for the outputs, results, or consequences of the Platform's algorithmic systems, content recommendation mechanisms, or automated processing functions, including but not limited to any content you are exposed to or miss as a result of algorithmic recommendations or personalized display. The operation of algorithmic systems does not constitute any promise, warranty, or representation by AllinNovel.
10. Limitation of Liability
10.1 Liability Cap
TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS, THE TOTAL AGGREGATE LIABILITY OF ALLINNOVEL AND ITS AFFILIATE COMPANIES FOR ALL CLAIMS IN CONNECTION WITH THIS AGREEMENT OR THE SERVICES, ARISING OUT OF ANY CIRCUMSTANCES, WILL BE LIMITED TO THE GREATER OF: (a) THE AMOUNT YOU HAVE PAID TO ALLINNOVEL FOR YOUR USE OF THE SERVICES TO WHICH THE CLAIM RELATES IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE DATE OF THE MOST RECENT CLAIM; OR (b) SGD ONE HUNDRED (SGD 100).
10.2 Excluded Losses
TO THE EXTENT PERMITTED BY APPLICABLE LAWS AND REGULATIONS, IN NO EVENT WILL ALLINNOVEL OR ANY OF ITS AFFILIATE COMPANIES BE LIABLE FOR:
(a) in connection with this Agreement or the Services, for any damages or losses caused by: (i) any natural disaster such as floods, earthquakes, or epidemics; (ii) any social event such as wars, riots, or government actions; (iii) any computer virus, trojan horse, or other damage caused by malware or hackers; (iv) any malfunction or failure of software, systems, hardware, or connectivity (ours or yours); (v) improper or unauthorized use of the Services; (vi) your use of the Services in breach of this Agreement; (vii) any reasons beyond our reasonable control or predictability; or (viii) failure to save or back up any data or other content;
(b) for any loss arising from content, programs, or services provided by any party other than AllinNovel;
(c) for any indirect, special, consequential, exemplary, or punitive damages or losses; and/or
(d) for any loss of business, revenues, profits, goodwill, content, or data.
10.3 Non-Excludable Liability
We do not exclude or limit in any way our liability where it would be unlawful to do so. Nothing in this Agreement limits or excludes: (a) any liability for fraud; (b) any liability for death or personal injury caused by our negligence; or (c) any other liability that cannot be waived, limited, or excluded under applicable laws and regulations.
10.4 Statutory Consumer Rights
Notwithstanding any other provision of this Agreement, nothing in this Agreement limits or excludes any of your statutory rights in your jurisdiction (including any rights under applicable consumer protection regulation), to the extent these may not be excluded or waived under applicable laws and regulations.
10.5 Third Parties
This Agreement governs the relationship between you and AllinNovel (and, where relevant, its affiliates). Your dealings with all third parties (including those found through the Services) are solely between you and the relevant third party. Subject to mandatory applicable laws and regulations, AllinNovel has no liability to you in relation to any third parties, including any content, services, or software provided by such third parties within the Services.
11. Indemnification
11.1 Indemnification Obligation
You agree to indemnify AllinNovel and each of its respective officers, directors, employees, agents, and advisors (each an "Indemnified Party") from and against any and all claims, suits, actions, demands, damages, debts, direct and indirect losses, costs, expenses (including but not limited to litigation costs and attorneys' fees), and liabilities arising from: (a) your use of the Services; or (b) your breach of this Agreement.
11.2 Cooperation and Control
You will assist and cooperate as fully as reasonably required by an Indemnified Party in the defense of any such claim or demand. AllinNovel reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you. In that case, you agree to cooperate fully with AllinNovel's defense, at your own expense, and shall not settle any such claim without AllinNovel's prior written consent.
11.3 Survival
The disclaimer, liability exclusion, liability limitation, release, and indemnity provisions in these Terms survive indefinitely after the termination of these Terms.
12. Promotions
In addition to these Terms, promotions, contests, or sweepstakes made available by AllinNovel through the Platform ("Promotions") may have specific rules that are different from or supplementary to these Terms. By participating in a Promotion, you agree to be bound by those additional terms and conditions, which will be provided to you when the Promotion is offered. The rules of a specific Promotion will take priority over these Terms in the event of any conflict with respect to that Promotion. Promotions may be subject to additional requirements under applicable law.
13. Intellectual Property Infringement
13.1 Infringement Notice
AllinNovel respects intellectual property rights and expeditiously terminates repeat infringers pursuant to a "three-strikes" policy. If you believe in good faith that your intellectual property rights have been infringed through use on the Platform, you may notify us by email via the Legal / IP Notices contact at the end of these Terms with "Notice of Infringement" in the subject line. Your notice should include:
(a) An electronic or physical signature of the person authorized to act on behalf of the intellectual property owner;
(b) A description of the intellectual property that you claim has been infringed;
(c) A description of the specific location on the Platform of the allegedly infringing material;
(d) Your email address, mailing address, and/or telephone number;
(e) A statement that you have a good-faith belief that the disputed use is not authorized by the intellectual property owner, its agent, or the law; and
(f) A statement that the information in your notice is accurate and that you are the intellectual property owner or are authorized to act on the owner's behalf. You acknowledge that submitting a false or misleading notice may give rise to civil and criminal liability under applicable Singapore law, including under the Singapore Penal Code and the Electronic Transactions Act.
13.2 Counter-Notice
If you believe that a notice of infringement has been improperly submitted against you, you may submit a Counter-Notice to AllinNovel, which should include:
(a) Your physical or electronic signature;
(b) Identification of the material removed or to which access has been disabled;
(c) A statement that you have a good-faith belief that removal or disablement of the material was a mistake or that the material was misidentified, with reasons supporting your belief; and
(d) Your full name, email address, mailing address, and a statement consenting to the jurisdiction of the Singapore courts or, if located outside Singapore, the courts of your jurisdiction, for purposes of resolving any dispute arising from the Counter-Notice.
13.3 Disclosure
Any notice or counter-notice must be truthful and submitted in good faith. AllinNovel may, where required or permitted by applicable law, disclose the contents of such notices and the identity of the relevant parties to third parties in connection with the resolution of the dispute.
14. Governing Law and Dispute Resolution
14.1 Governing Law
These Terms shall be exclusively governed by and construed in accordance with the laws of Singapore, without reference or regard to any conflict of law principles. Nothing in this Section affects any mandatory consumer protection rights you may have under the laws of your country of residence that cannot be excluded or waived by contract.
14.2 Informal Resolution
Before initiating formal dispute resolution, the parties agree to first attempt to resolve any dispute, claim, or controversy (a "Dispute") by good-faith negotiation for a period of thirty (30) days from the date of written notice by either party.
14.3 Arbitration
If a Dispute is not resolved through informal negotiation, it shall be referred to and finally resolved by binding arbitration administered by the Singapore International Arbitration Centre ("SIAC") in accordance with the SIAC Arbitration Rules in force at the time the notice of arbitration is submitted, which rules are deemed incorporated by reference herein. The seat of the arbitration shall be Singapore. There shall be one (1) arbitrator. The arbitration shall be conducted in English. The arbitral award shall be final and binding upon both parties.
14.4 Consumer Exception
Notwithstanding Section 14.3, consumers resident in the EU retain the right to bring claims before the courts of their EU member state of residence and to use the EU Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).
14.5 Urgent Relief
Nothing in this Section shall prevent either party from seeking urgent interim relief from any court of competent jurisdiction.
15. Notices
15.1 Notices to AllinNovel
All legal notices to AllinNovel shall be in writing and delivered via the contact details at the end of these Terms.
15.2 Notices to Users
AllinNovel will communicate with you by email or via inbox messages. You agree that all agreements, notices, disclosures, and other communications that AllinNovel provides to you electronically satisfy any legal requirement that such communications be in writing. You agree to keep your Account contact information up to date. AllinNovel is not responsible for failed delivery of notices where your contact information is outdated or inaccurate.
16. General Provisions
16.1 Severability
If any provision of these Terms is held invalid or unenforceable in any jurisdiction, such invalidity shall not affect the validity or enforceability of that provision in any other jurisdiction, or any other provision of these Terms. Any invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
16.2 Entire Agreement
These Terms, together with the Privacy Policy, Content Policy, and any other agreements expressly referenced herein, constitute the entire agreement between you and AllinNovel with respect to the subject matter hereof and supersede all prior or contemporaneous agreements, communications, and understandings.
16.3 Waiver
No failure or delay by AllinNovel in exercising any right or remedy under these Terms shall operate as a waiver of that right or remedy.
16.4 Assignment
You may not assign or transfer any rights or obligations under these Terms without AllinNovel's prior written consent. AllinNovel may freely assign these Terms in connection with a merger, acquisition, corporate restructuring, or sale of assets, without your consent.
16.5 No Third-Party Beneficiaries
Except as expressly provided herein, these Terms do not create any third-party beneficiary rights.
16.6 Language
In the event of any inconsistency between the English version of these Terms and any other language version, the English version shall prevail. All other language versions shall be deemed automatically amended to conform with and be consistent with the English text.
16.7 Survival
The disclaimer, liability exclusion, liability limitation, indemnification, and intellectual property provisions of these Terms shall survive indefinitely after the termination of these Terms.
17. Regional Addenda
17.1 European Union and United Kingdom Users
If you are a resident of the EU or UK, the following additional provisions apply to you:
(a) DSA Hosting Safe Harbor. AllinNovel's liability in respect of User Content uploaded by EU and UK users shall not exceed the scope of liability applicable to intermediate hosting service providers under the EU Digital Services Act (DSA) and the UK Online Safety Act. AllinNovel reserves the right to take content moderation measures within a reasonable investigation period following receipt of a credible notice — rather than immediately — and such investigation period shall not itself give rise to any liability on the part of AllinNovel.
(b) Withdrawal Right Cut-Off. When you purchase any paid digital content or subscription service, you will be required to expressly confirm: (i) that you request AllinNovel to immediately commence delivery of the digital content or provision of the service; and (ii) that you understand that once delivery or provision has commenced, you will lose your right of withdrawal under EU Directive 2011/83/EU or the UK Consumer Contracts Regulations 2013. Such express confirmation constitutes a valid waiver of your right of withdrawal, and AllinNovel is not required to provide a refund for digital content already delivered or services already commenced.
(c) GDPR Data Processing Boundary. AllinNovel acts as a data controller solely in respect of personal data processing activities that it directly controls. AllinNovel does not assume controller liability under the GDPR in respect of: personal data contained in content you voluntarily publish on the Platform; information you proactively share with other users; or data transmitted through third-party sign-on functionalities. You have rights under the GDPR including the rights of access, rectification, erasure, restriction of processing, data portability, objection, and rights relating to automated decision-making. To exercise these rights, please contact our Data Protection Officer via the contact details at the end of these Terms.
(d) Dispute Resolution. EU and UK consumers retain the right to bring claims before the courts of their country of residence. EU consumers may also use the EU Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr).
17.2 United States Users
If you are a resident of the United States, the following additional provisions apply to you:
(a) Class Action Waiver. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO BRING ANY CLAIM ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING. If for any reason a Dispute proceeds in court rather than in arbitration, both you and AllinNovel expressly waive any right to a jury trial. You also waive any right to participate as a plaintiff or class member in any class or representative action. This Class Action Waiver is an essential part of the arbitration agreement in Section 14; if this waiver is found unenforceable, the entire arbitration agreement shall not apply to that Dispute.
(b) DMCA Safe Harbor. AllinNovel qualifies as a service provider under Section 512 of the Digital Millennium Copyright Act (17 U.S.C. § 512). AllinNovel does not have actual knowledge of infringing material in User Content, does not receive a financial benefit directly attributable to infringing activity, and responds expeditiously upon receiving a compliant notice of claimed infringement. The existence of these safe harbor conditions does not constitute an admission by AllinNovel of any infringement. AllinNovel implements a repeat-infringer termination policy ("three-strikes" policy) to maintain its DMCA safe harbor eligibility.
(c) CCPA Rights and Boundaries. AllinNovel does not sell or share users' personal information for cross-context behavioral advertising. For California residents, "sale" does not include: (i) AllinNovel's transfer of data to service providers for the purpose of providing the Services; (ii) information that you proactively provide to third parties; or (iii) disclosures required by law. AllinNovel is not liable under the CCPA as a controller in respect of personal information disclosures that result from users sharing their own account information or content outside the Platform. California residents have the right to know, delete, and opt out of the sale or sharing of their personal information; to exercise these rights, contact our Data Protection Officer via the contact details at the end of these Terms.
(d) California Minor Content Removal. If you are under 18 years of age and reside in California, you may request removal of content you have publicly posted on the Platform by contacting us via the contact details at the end of these Terms.
17.3 Mainland China Users
If you are a resident of the People's Republic of China (mainland), the following additional provisions apply to you:
(a) Nature of Offshore Service. The Platform is operated by a company registered under Singapore law and constitutes an offshore internet service provided to users globally. The Platform has not obtained an Internet Content Provider (ICP) licence or other applicable regulatory approvals in the People's Republic of China, and is not directly subject to the PRC internet information services regulatory framework.
(b) User's Own Compliance Obligations. Mainland China users, by accessing the Platform, assume sole responsibility for ensuring that their use complies with the PRC Cybersecurity Law, Personal Information Protection Law, Data Security Law, and all other applicable laws and regulations. AllinNovel makes no warranty or representation regarding the accessibility or continuity of the Services within mainland China, nor regarding compliance with any PRC domestic regulatory requirements.
(c) Consent to Cross-Border Data Transfer. You understand and expressly consent that personal information you provide in the course of using the Platform will be transferred to and processed and stored in jurisdictions outside the People's Republic of China, including Singapore and other countries and regions. By using the Platform, you provide your express consent to such cross-border transfer of personal information pursuant to Chapter III of the PRC Personal Information Protection Law. If you do not consent to the cross-border transfer of your personal information, please do not use the Platform.
(d) Jurisdiction. Notwithstanding Section 14, any dispute arising between a mainland China user and AllinNovel in connection with these Terms or use of the Platform shall not be submitted to any PRC arbitration institution or court, but shall instead be resolved by binding arbitration before SIAC in Singapore in accordance with Section 14, and shall be governed by Singapore law.
17.4 Australian Users
If you are a resident of Australia, the following additional provisions apply to you:
(a) Consumer Guarantees. The Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010) provides you with consumer guarantees that cannot be excluded, restricted, or modified. Nothing in these Terms excludes, restricts, or modifies any right or remedy you may have under the Australian Consumer Law.
(b) Limitation of Liability under ACL Section 64A. To the extent permitted by law, AllinNovel limits its liability for a failure to comply with any applicable consumer guarantee under the Australian Consumer Law, pursuant to Section 64A of that law, to one of the following remedies (at AllinNovel's election): (i) the re-supply of the relevant services; or (ii) the payment of the cost of having the relevant services re-supplied. AllinNovel expressly elects to apply the liability limitation mechanism provided by Section 64A of the Australian Consumer Law, and reserves the right to select the applicable remedy.
17.5 Other Regions and Restricted Territories
For users in jurisdictions not expressly covered by the regional addenda above, the following provisions apply:
(a) User's Own Compliance. You are solely responsible for ensuring that your access to and use of the Platform complies with all applicable laws and regulations in your jurisdiction. AllinNovel makes no representation or warranty that the Services are lawful or appropriate for use in any particular jurisdiction.
(b) Restricted Territories. The Platform is not directed to, and may not be used by, individuals located in jurisdictions subject to comprehensive trade sanctions or embargoes (including but not limited to North Korea, Iran, Cuba, Syria, and the Crimea region). Individuals located in such jurisdictions are not authorized to use the Platform and bear sole responsibility for any compliance consequences arising from accessing it. AllinNovel accepts no liability in this regard.
(c) Preservation of Mandatory Rights. Nothing in this Regional Addenda limits any rights you may have under the mandatory consumer protection or data protection laws of your jurisdiction that cannot be excluded or waived by contract.
